Please read these Terms of Use before using the History Compass, LLC website ("History Compass Site"). By using the History Compass Site you agree to these terms and changes that History Compass posts.

Proprietary Rights and Restrictions, Legal Disclaimers

The History Compass Site is the property of History Compass, LLC and is protected by United States and international copyright laws. History Compass owns or licenses all copyright, trademark, database, and other proprietary rights in the History Compass Site and in the text, graphics, pictures, design, names, logos, icons, and other materials on the site ("History Compass Information"), or has a right to use such materials.

In accessing the History Compass Site you agree that you will access History Compass Information only for personal, non-commercial use. You may not reproduce, copy, post, broadcast, republish, transmit, download, upload, modify, adapt, create derivate works of, or distribute History Compass Information or remove copyright or other proprietary notices, either online or offline.

The History Compass Site and History Compass Information are provided "AS IS" without warranty, express or implied, including, but not limited to, implied warranties of fitness for a particular purpose, non-infringement, compatibility, security, or accuracy. History Compass does not warrant that the operation of the History Compass Site will be uninterrupted or error free or that it or the server that makes it available are free of viruses. It is your responsibility to protect your computer and network from viruses, worms, Trojan horses, and other destructive devices.

When you are invited to contribute to the History Compass Site, you grant History Compass a royalty-free, irrevocable, sublicenseable right to use, and exercise all copyright rights relating to, such material. You also warrant that such contribution is your original work, that you have the right to make it available to History Compass for all purposes, and that you will indemnify History Compass for losses, fees, damages, and expenses that History Compass may incur as a result of your breach of the above.

Changes to Terms

We reserve the right to change the Terms of Use. Please review the Terms of Use periodically for changes. Continued use of the History Compass Site following the posting of changes to the Terms of Use means that you accept all such changes.

Liability Limit

HISTORY COMPASS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUES AND LOST PROFITS, THAT ARISE OUT OF OR RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE HISTORY COMPASS SITE OR THE HISTORY COMPASS INFORMATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR CONSEQUENTIAL DAMAGES, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION WILL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE HISTORY COMPASS SITE. Any claim must be brought within one year following the date the claim first accrued, or such claim will be deemed waived.

General

The History Compass Site is directed from our offices in the Commonwealth of Massachusetts. This Agreement will be governed by the laws of the Commonwealth of Massachusetts without regard to its conflicts of laws provisions. You agree that any action arising out of or relating to the History Compass Site will be filed only in the state or federal courts located in Massachusetts. You further consent and submit to the personal jurisdiction of these courts for the purposes of litigating any such action. The failure of a party to exercise any right or the waiver by a party of any breach will not prevent a later exercise of such right or be deemed a waiver of any later breach of the Terms of Use. If any provision of the Terms of Use is held to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability will be reformed to be enforceable to the maximum extent permitted by law, and whether or not it may be so reformed, it will not affect any other provision of this Agreement, unless the unenforceability of the applicable provision would materially impair either party's ability to obtain substantial performance of the other party.
